End-User License Agreement (EULA)

IMPORTANT - READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and the licensor for the SCOPE64 software product identified above, which includes computer software and may include associated media, printed materials, and online or electronic documentation ("Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

1. Definitions

  • "Software" means SCOPE64 application, including all updates, upgrades, and documentation
  • "License" means the rights granted to you under this EULA
  • "Licensor" means the owner and distributor of SCOPE64
  • "You" or "End User" means the individual or entity using the Software
  • "Device" means a single computer or workstation on which the Software is installed
  • "Activation" means the process of validating your license with our servers

2. License Grant

2.1 Single User License

Subject to the terms of this EULA and payment of applicable license fees, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:

  1. Install and use the Software on a number of Devices according to your purchased license tier
  2. Make one backup copy of the Software for archival purposes
  3. Use the Software for your personal or commercial photography work

2.2 License Types

Trial License:

  • Evaluation period of 14 days
  • Full functionality with time limitation
  • Automatically expires after trial period
  • One trial per user/hardware

Standard License:

  • Single user, single device activation
  • Lifetime updates within major version
  • Personal and commercial use permitted

Professional License:

  • Single user, up to 3 device activations
  • Priority support
  • Lifetime updates within major version
  • Commercial use permitted

Enterprise License:

  • Multiple users (as specified in purchase)
  • Volume licensing available
  • Dedicated support
  • Custom terms available

3. License Restrictions

YOU MAY NOT:

3.1 Prohibited Actions

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
  • Modify, adapt, translate, or create derivative works based on the Software
  • Remove, alter, or obscure any proprietary notices (including copyright and trademark notices)
  • Rent, lease, lend, sell, sublicense, or distribute the Software
  • Share your license key or activation credentials with others
  • Use the Software on more devices than permitted by your license
  • Circumvent or bypass any license validation or activation mechanisms
  • Use the Software for any illegal purpose or in violation of any laws
  • Transfer the Software to another person without prior written consent

3.2 Benchmarking and Performance Testing

You may not publish or disclose to any third party the results of any benchmark or performance tests run on the Software without prior written consent.

4. Activation and Hardware Binding

4.1 Online Activation Required

The Software requires online activation to validate your license. During activation:

  • Your license key will be verified against our servers
  • Hardware identifiers will be collected and bound to your license
  • An encrypted activation token will be stored locally

4.2 Hardware Binding

Your license is bound to specific hardware components including:

  • CPU identifier
  • Motherboard serial number
  • Storage device identifiers

4.3 Hardware Changes

Significant hardware changes may require reactivation. You are permitted 3 reactivations per year. Additional reactivations may be granted at our discretion.

4.4 Offline Grace Period

The Software provides a 30-day offline grace period. After 30 days without internet connection, online reactivation is required to continue using the Software.

4.5 Deactivation

You may manually deactivate the Software on a Device through the license management interface. This will release the activation for use on another Device (subject to your license limits).

5. Ownership and Intellectual Property

5.1 Licensor Ownership

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights to trademarks or service marks.

5.2 Your Content

You retain all rights to images and files you process using the Software. Licensor claims no ownership or rights to your content.

5.3 Feedback

If you provide suggestions, feedback, or ideas about the Software, Licensor may use them without any obligation to you.

6. Updates and Upgrades

6.1 Automatic Updates

The Software may automatically download and install updates, including:

  • Bug fixes and security patches
  • Minor feature improvements
  • Performance optimizations

6.2 Major Version Upgrades

Major version upgrades (e.g., version 2.0, 3.0) may require an additional purchase or upgrade fee. Your current license includes free updates within the same major version.

6.3 Beta and Preview Versions

Beta or preview versions are provided "as is" without warranty. They may be unstable and should not be used in production environments.

7. Support and Maintenance

7.1 Technical Support

Support level depends on your license type:

  • Trial: Limited community support
  • Standard: Email support (48-hour response time)
  • Professional: Priority email support (24-hour response time)
  • Enterprise: Dedicated support with custom SLA

7.2 Support Limitations

Support does not include:

  • Training or consulting services
  • Custom development
  • Integration with third-party software
  • Support for modified or tampered software

8. Data Collection and Privacy

8.1 License Validation Data

The Software collects and transmits the following data for license validation:

  • License key and activation status
  • Hardware identifiers
  • IP address
  • Software version

8.2 Usage Analytics

The Software may collect anonymous usage statistics to improve product quality. You can opt-out in preferences.

8.3 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, available at https://scope64.io/privacy.php

8.4 Your Images

IMPORTANT: The Software processes all images locally on your Device. We do not upload, transmit, or access your images or project files.

9. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT:

  • The Software will meet your requirements
  • The operation of the Software will be uninterrupted or error-free
  • Defects in the Software will be corrected
  • The Software is compatible with all hardware and software configurations

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, LICENSOR'S ENTIRE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE.

11. Term and Termination

11.1 Term

This EULA is effective upon installation and remains in effect until terminated.

11.2 Termination by You

You may terminate this EULA at any time by:

  • Uninstalling the Software from all Devices
  • Destroying all copies of the Software in your possession
  • Ceasing all use of the Software

11.3 Termination by Licensor

Licensor may terminate this EULA immediately without notice if you:

  • Breach any term of this EULA
  • Fail to pay applicable license fees
  • Engage in piracy or unauthorized distribution
  • Use the Software for illegal purposes

11.4 Effect of Termination

Upon termination:

  • All rights granted under this EULA immediately cease
  • You must cease all use of the Software
  • You must uninstall and destroy all copies
  • License fees are non-refundable (except as required by law)
  • Provisions that by their nature should survive (e.g., warranty disclaimers, liability limitations) will continue

12. Export Compliance

The Software may be subject to export control laws and regulations. You agree to:

  • Comply with all applicable export and import laws
  • Not export or re-export the Software to prohibited countries or entities
  • Not use the Software for prohibited purposes (e.g., nuclear, chemical, or biological weapons)

13. Government End Users

If you are a U.S. Government end user, the Software is "Commercial Computer Software" under FAR 12.212 and DFARS 227.7202, and is licensed with only those rights as granted to all other end users.

14. Third-Party Components

The Software may include third-party open-source components. These components are licensed under their respective licenses, which can be found in the "About" section of the Software or in the accompanying documentation.

15. Governing Law and Jurisdiction

15.1 Governing Law

This EULA shall be governed by and construed in accordance with the laws of "Paris, France", without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute arising from this EULA shall be resolved through:

  1. Negotiation: Good faith attempt to resolve informally
  2. Arbitration: Binding arbitration under "ICC Court of Arbitration (Paris, France)" rules
  3. Location: Arbitration shall take place in 56100 LORIENT

In accordance with European law, consumers retain the right to bring proceedings before the courts of their place of residence.

15.3 Class Action Waiver

You agree that disputes will be resolved individually, not as part of a class action or representative proceeding.

16. Audit Rights

Licensor reserves the right to audit your use of the Software to ensure compliance with this EULA. You agree to cooperate with such audits and provide reasonable access to records.

17. Entire Agreement

This EULA, together with any purchase order and our Privacy Policy, constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements and understandings.

18. Amendments

Licensor may modify this EULA at any time by posting the updated version on our website. Material changes will be communicated via email. Continued use after changes constitutes acceptance.

19. Severability

If any provision of this EULA is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Waiver

No waiver of any term or condition of this EULA shall be deemed a further or continuing waiver of such term or any other term.

21. Assignment

You may not assign or transfer this EULA or your rights under it without Licensor's prior written consent. Licensor may assign this EULA without restriction.

23. Acknowledgment

BY INSTALLING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
